YuvGro provides AI-powered digital marketing consulting and strategy services including, but not limited to: Organic SEO strategy, Answer Engine Optimisation (AEO), AI Overview Optimisation (AIO), Generative Engine Optimisation (GEO), Content Marketing strategy, Social Media strategy, Online Reputation Management (ORM), Paid Media and PPC strategy and management, Web Design and Development, and Full Digital Marketing Strategy.
The specific scope, deliverables, timelines, and fees for any engagement are outlined in a separate Service Agreement, Proposal, or Statement of Work agreed in writing between YuvGro and the client before work commences. YuvGro reserves the right to decline any engagement at its sole discretion without obligation to provide a reason.
Services are provided on a consultancy basis. YuvGro does not represent itself as an employee or agent of the client. The relationship between YuvGro and its clients is that of independent contractor and client.

4. Engagements and Client Agreements
4.1 Service Agreements
All paid engagements are governed by a written Service Agreement, Proposal, or Statement of Work accepted by both parties. The specific terms in that agreement take precedence over these general Terms where there is a conflict related to the specific engagement.
4.2 Scope Changes
Any changes to the agreed scope of work must be requested and confirmed in writing by both parties before additional work commences. YuvGro is not obligated to perform work outside the agreed scope without a written change order or revised agreement.
4.3 Client Responsibilities
The client agrees to provide YuvGro with timely access to any accounts, assets, information, credentials, or approvals required to deliver the agreed services. Delays caused by a client’s failure to provide required inputs in a reasonable timeframe may affect delivery timelines and shall not constitute a breach of obligation by YuvGro.
4.4 Approvals and Feedback
Where deliverables require client review and approval, feedback must be provided within the timeframe specified in the Service Agreement. If no feedback is received within that timeframe, YuvGro may treat the deliverable as approved for progression to the next stage.
4.5 Cancellation
Monthly retainer engagements may be cancelled by either party with 30 days written notice. For project-based engagements, cancellation after work has commenced will result in charges for work completed to the date of cancellation at a pro-rata rate based on the agreed project fee.
5. Intellectual Property
5.1 YuvGro Materials
All original frameworks, methodologies, templates, processes, and materials developed by YuvGro prior to or independently of any client engagement remain the exclusive intellectual property of YuvGro.
5.2 Client Deliverables
Upon receipt of full payment for a completed engagement, intellectual property rights in the specific written deliverables created for the client transfer to the client, unless otherwise specified in the Service Agreement.
5.3 Website Content
All content on the YuvGro website is the property of YuvGro and is protected under applicable Indian copyright law (Copyright Act, 1957) and international intellectual property conventions. You may not reproduce, republish, distribute, modify, or commercially exploit any content from this Website without prior written permission.
5.4 Client Materials
The client retains all intellectual property rights in any materials, data, brand assets, or information they provide to YuvGro. By sharing these materials, the client grants YuvGro a limited, non-exclusive licence to use them solely for the purpose of delivering the agreed services.
6. Confidentiality
Both parties agree to keep confidential any proprietary or commercially sensitive information received from the other party in connection with an engagement. This obligation does not apply to information that is already in the public domain, independently developed by either party, or required to be disclosed by law or by order of a competent court.
YuvGro will not disclose client business information, performance data, revenue figures, or commercially sensitive strategies to third parties without the client’s prior written consent.

7. Limitation of Liability
To the maximum extent permitted under applicable Indian law, YuvGro, its proprietors, employees, contractors, and associates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with the use of this Website or our services.
YuvGro’s total liability for any claim arising from a specific client engagement shall not exceed the total fees paid by the client to YuvGro during the three calendar months immediately preceding the event giving rise to the claim.

8.1 No Guaranteed Outcomes
Digital marketing results are influenced by a wide range of factors outside YuvGro’s control, including search engine algorithm changes, competitive market conditions, platform policy updates, the quality and timeliness of client-provided inputs, and broader economic factors. YuvGro makes no guarantee of specific search rankings, organic traffic volumes, lead quantities, conversion rates, or revenue outcomes. No refund will be issued solely on the basis of not achieving a specific performance target.

In the event of any dispute arising between YuvGro and a client, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days of the dispute being raised in writing. If the dispute is not resolved through negotiation, the parties may agree to refer the matter to mediation or arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). \
